Wholesale Terms & Conditions

These Terms & Conditions govern all wholesale purchases of fabrics (stock service, artisan, and print-to-order) from Global De-Stash. By placing a wholesale order, the buyer agrees to the following:

1. Eligibility

  • Wholesale accounts are available to registered businesses, makers, fabric resellers, schools, and sewing education providers.
  • Proof of business registration, ABN, or equivalent identification may be required to qualify for wholesale pricing.

2. Minimum Orders & Maintenance of Rights to Pricing

  • Minimum order quantities (MOQs) may apply and will be stated per product category:

    • Stock Service Fabrics – available in ongoing supply, minimum order 10 Meters Per Design

    • Artisan Fabrics – Minimum order 10 Meters Per Design

    • Print-to-Order Fabrics – Minimum Order 10 Meters Per Design (Some exceptions such as Artist Drop-Shipping)

  • Where customers do not exceed a $500 Spend every 6 months, their access to wholesale will be relinquished, unless otherwise agreed.

3. Pricing & Payment

  • All wholesale prices are quoted in AUD (Australian Dollars) and exclude GST unless stated otherwise.

  • Prices are subject to change without notice but will be confirmed at the time of order placement.

  • Payment terms are strictly pro forma (payment prior to dispatch) .

  • Accepted payment methods: Bank transfer, Credit Card, Stripe or WISE

4. Shipping & Delivery

  • Shipping is charged at cost and added to the invoice unless otherwise agreed.

  • Risk in the goods passes to the buyer upon delivery to the nominated address.

  • Delivery timelines vary by fabric type:

    • Stock Service – generally dispatched within 5–7 business days.

    • Artisan Fabrics – subject to production schedules; lead times will be advised.

    • Print-to-Order – typically dispatched within 3–4 weeks of artwork approval.

  • Any delays will be communicated, but Global De-Stash is not liable for losses caused by delivery delays.

5. Returns & Cancellations

  • Due to the nature of fabric, no returns or exchanges are accepted unless goods are faulty or incorrectly supplied.

  • Claims for faulty or incorrect goods must be made within 7 days of receipt with photographic evidence.

  • Cancellations on confirmed orders (particularly artisan or print-to-order) are not permitted once production has commenced.

6. Product Variation

  • Natural and artisan-made fabrics may include minor variations in colour, weave, or finish. These are characteristics of the production process and not considered faults.

  • Colours displayed online are represented as accurately as possible; however, variations may occur due to digital displays and printing processes.

  • 7. Intellectual Property
  • All original fabric designs, including print-to-order artwork, remain the property of Global De-stash or its artists unless full copyright ownership is purchased.

  • Wholesale buyers may not reproduce, copy, or resell designs in any form other than as fabric purchased through approved wholesale channels.

8. Resale & Marketing

  • Wholesale buyers may resell fabrics in original form (cut lengths, rolls, or incorporated into finished goods).

  • Fabrics purchased under wholesale may not be misrepresented as the buyer’s original designs, unless otherwise agreed.

  • Artisan and print-to-order fabrics must be marketed in line with any attribution or brand guidelines provided.

9. Governing Law

  • These Terms & Conditions are governed by the laws of Victoria, Australia.
  • Any disputes shall be resolved in the courts of Victoria.
